Representative Experience
Structuring and forming a variety of business ventures involving corporations, limited liability companies and partnerships, including advising on federal and state tax and securities issues:
- Forming and conducting private placements of equity interests in health care businesses, including hospitals and medical device companies
- Structuring joint ventures between and among physicians, hospitals, and other health care companies to develop and operate ambulatory surgery centers and other facilities, own and lease medical equipment, and provide management services
- Organizing medical groups
- Acquiring, selling, and merging businesses and entities, both in the health care industry and in other industries
Assisting physician groups and health care facilities in recruiting and hiring physicians and in developing compensation structures that fairly compensate and provide appropriate incentives for physicians who are employees or independent contractors
Providing transactional and regulatory compliance advice to entities and physicians engaged in clinical research
Advising health care facilities and physicians regarding compliance with applicable self-referral, anti-kickback, privacy, and other laws and regulations
Reviewing clients’ corporate governance structures and policies in light of the Sarbanes-Oxley Act and other corporate governance reforms
Representative Clients
Represents for-profit and nonprofit hospitals and hospital systems, physicians and physician groups, clinical research site management organizations, medical device companies, health care management companies, health care facility developers, and others in the health care industry
Also has represented clients in a number of other industries, including clients focused on communications, energy, entertainment, manufacturing, product distribution, publishing, real estate development and technology
