I enjoy helping businesses and investors create the meaningful investments and partnerships necessary to drive innovation.

Christian A. Villanueva is a member of the firm's corporate and business transactions practice group. His practice focuses on corporate and securities matters where he assists domestic and international clients ranging from emerging companies to well-established corporations in complex transactions including debt and equity financings, mergers and acquisitions, and joint ventures. Christian also has broad experience negotiating and drafting corporate agreements for public and private companies, as well as counseling on corporate governance matters. Finally, Christian has extensive experience advising institutional investors and fund sponsors in connection with the formation and management of venture capital funds and other private equity funds.

While earning his J.D. from Boston College, Christian served as a judicial extern under U.S. District Judge Thomas M. Durkin in the Northern District of Illinois. He is dedicated to providing pro bono services, particularly related to veterans' issues and impact investments.

Flip-up of Australian health-tech company*

Represented a healthcare-focused venture capital firm in its flip-up of a publicly traded Australian health-tech company and its subsequent investment of about $15 million in the new U.S.-based company. Subsequently, acted as general corporate counsel for the new U.S.-based company.

Restructure and merger of oil and gas holdings*

Represented a large oil and gas investment firm in the restructuring of its holdings throughout the U.S. (about $1.4 billion), including the merger of various holdings and related entities for tax and administrative efficiency.

Health-tech incubator formation/development*

Represented a healthcare-focused venture capital firm in the establishment of an incubator joint venture with a large New York State healthcare network.

Ed-tech capital raising*

Represented a private equity fund and its education technology portfolio company in the portfolio company's additional capital raising of about $24.5 million, led by the private equity fund.

Acquisition of footwear company*

Represented clients in a joint venture to finance and acquire a majority-ownership stake in the holding company of a prominent footwear company.
